Incorporation Tips IV: Incorporated Trustees

As earlier mentioned in the introduction, click here to read the introduction, non-profit making and non-governmental Organizations/Associations like Clubs, Political Parties, Churches, Associations, Foundations, etc. are registerable as “Incorporated Trustees”. Unlike a company whose members form themselves as a company and operate in that name as a separate entity, only a member or few members of an Incorporated Trustee may be appointed and registered as the “Trustee” or “Trustees” of the Organization. This entity is not for business and is not allowed to distribute profits. Its objects are like those listed for Company Limited by Guarantee. It is for the promotion of certain causes for public good or public benefits such as science, education, culture, and religion.

To register an organisation as Incorporated Trustees requires a special procedure. The first stage is to apply for consent and approval of name which is followed by publication in two National Newspapers in case of any objection to the registration from the general public. It is required that an Incorporated Trustee has a Constitution and a Common Seal. The requirements for incorporation of trustees include the following:

  • Consent and evidence of approval of name.
  • Duly completed online incorporation forms.
  • Formal application for registration signed by the Chairman or Secretary or the Solicitor.
  • Extracts of minutes of general meeting signed by the Chairman and Secretary appointing trustees and adopting Special Clause in Constitution two printed copies of the constitution.
  • Trustees declaration form duly deposed to in the High Court by each trustee.
  • Cuttings (or National Library certified copy) of publication page of 3 x 2 notice of application for registration in two newspapers (one local and one national newspaper).
  • Photocopy of information page of international passport or national identity card, email, telephone number of each trustee.
  • Address of the Association.
  • Payment of fees.

You may need to seek the advice or service of a corporate lawyer to register an Incorporated Trustee for effective outcome and better running of the organisation.
